1.1.   交貨。在XXX于本協(xié)議第2款規(guī)定的到期日當(dāng)日或之前收到采購訂單的應(yīng)付貨款總額時，買方應(yīng)在相關(guān)采購訂單指定的交貨日期（“交貨日期”）在XXX指定的香港倉庫或采購訂單指定的任何其他交貨地點（統(tǒng)稱為“交貨地點”）提貨。為免生疑問，在XXX根據(jù)第2款收到相關(guān)采購訂單的應(yīng)付貨款總額之前，XXX不會在交貨日期給買方交付任何貨物。

1.2.  Inspection of Goods. Upon the receipt of Goods at the Place of Delivery by Buyer, Buyer shall immediately inspect Goods and notify XXX of any inconsistencies of Goods (including but limited to, type, model, specification or quantity) with the description of Goods in the Purchase Order. If Buyer fails to promptly inspect Goods or notify XXX of any inconsistences upon the delivery of Goods, Goods shall be deemed as fully and successfully delivered by XXX to Buyer and Buyer shall be deemed to have accepted Goods from XXX, and the Buyer shall have no right to request for return or replacement of any Goods from XXX and XXX shall not be obliged to accept Buyer’s request for return or replacement of any Goods, unless otherwise required by applicable laws, regulations, orders, policies and rules (collectively, “Applicable Laws”).

1.2.   驗貨。買方在交貨地點收貨后，買方應(yīng)立即驗貨，如發(fā)現(xiàn)收到的貨物與采購訂單描述的貨物存在任何不一致（包括但不限于類型、型號、規(guī)格或數(shù)量），應(yīng)立即通知XXX。如果買方未能在收貨時及時驗貨或通知XXX任何不一致情形，則貨物應(yīng)被視為由XXX完全成功地交付給買方，買方應(yīng)被視為已驗收XXX交付的貨物，買方不得要求退還或更換XXX交付的任何貨物，且XXX應(yīng)無義務(wù)接受買方提出的任何退貨或換貨要求，除非適用的法律、法規(guī)、命令、政策和規(guī)則（統(tǒng)稱“適用法律”）另有規(guī)定。

1.3.   Title and Risk. Title and risk of damage to or loss of Goods shall pass from XXX to Buyer upon the delivery of Goods at the Place of Delivery.

1.3.   所有權(quán)和風(fēng)險。貨物的所有權(quán)及其損壞或丟失風(fēng)險應(yīng)在交貨地點交貨后從XXX轉(zhuǎn)移給買方。

1.4. Force Majeure. Except for Buyer’s payment obligations under this Agreement, either Party shall be excused of its obligations hereunder to the extent that and for any period during which such performance is prevented or materially hindered (directly or indirectly) by reasons of any strike, lockout, accident, extremes of weather, event of nature, unavailability of raw materials or normal means of transport, act of God, acts of public authorities or any other matter beyond the reasonable control of the Parties. In addition, if any of such events occur, XXX shall be entitled at its sole discretion to delay, cancel or suspend providing any Goods on the relevant Delivery Date without prejudice to its rights to payment for any Goods already delivered and accepted by Buyer.

1.4.   不可抗力。除本協(xié)議規(guī)定的買方付款義務(wù)外，如任何罷工、封鎖、事故、極端天氣、自然災(zāi)害、無法獲得原材料或日常運輸工具、天災(zāi)、公共當(dāng)局的行動或超出雙方合理控制范圍的任何其他事件直接或間接地妨礙或嚴(yán)重阻礙任何一方履行本協(xié)議規(guī)定的任何義務(wù)，受影響方應(yīng)在該等受影響期間內(nèi)免于履行受影響的該等義務(wù)。此外，如果發(fā)生任何該等不可抗力事件，XXX應(yīng)有權(quán)自行決定延遲、取消或暫停在相關(guān)交貨日期交付任何貨物，且該等延遲、取消或暫停不得影響XXX收取其已經(jīng)交付并由買方驗收的貨物的貨款。
