(a） In acting hereunder, the Offshore Facility Agent and the Onshore Facility Agent are acting solely as agent of the Offshore Senior Lenders and the Onshore Senior Lenders, respectively, and any action taken by the Offshore Facility Agent or the Onshore Facility Agent under this Agreement on behalf of the Offshore Senior Lenders or the Onshore Senior Lenders, respectively, in its or their capacity(ies) as a Senior Party shall be taken only on the written instructions of the Offshore Senior Lenders or the Onshore Senior Lenders, respectively. Prior to casting any vote on any matter hereunder, each of the Offshore Facility Agent and the Onshore Facility Agent shall determine how the Secured Parties that it represents wish to vote with respect to such matter.

The Parties agree and understand that all protections, indemnities and disclaimers from liability afforded to the Offshore Facility Agent under the Offshore Facility Agreement or the Onshore Facility Agent under the Onshore Facility Agreement shall apply to the Offshore Facility Agent or the Onshore Facility Agent, as the case may be, mutatis mutandis as if set out in full in this Agreement; provided, however, that in no event shall the Offshore Facility Agent or the Onshore Facility Agent be entitled to be indemnified in respect of any cost, expense or liability hereunder to the extent it has been indemnified to its satisfaction under the Offshore Facility Agreement or the Onshore Facility Agreement, as the case may be, for such cost, expense or liability.

(d) If the Offshore Facility Agent or the Onshore Facility Agent ceases for any reason to be the Offshore Facility Agent under the Offshore Facility Agreement or the Onshore Facility Agent under the Onshore Facility Agreement, respectively, or any other Financing Document, it shall likewise cease to have any obligations under this Agreement with immediate effect and the functions and responsibilities of the Offshore Facility Agent or the Onshore Facility Agent, as applicable, shall automatically pass to its successor as Offshore Facility Agent or Onshore Facility Agent, as applicable, under the Offshore Facility Agreement or the Onshore Facility Agreement, as the case may be; provided that nothing in this Section 2.04 shall be deemed to release the Offshore Facility Agent or the Onshore Facility Agent from any loss or liability resulting from its gross negligence or willful misconduct while serving as such Offshore Facility Agent or Onshore Facility Agent.
