根據(jù)我們與貴司相關(guān)負責(zé)人員的溝通，貴司擬對我國對于信息保護的相關(guān)法律規(guī)定做以了解及分析，以進一步規(guī)避貴司在日常運營中可能遇到的合規(guī)風(fēng)險。鑒于貴司關(guān)注的合規(guī)要點在于個人信息的保護以及公司商業(yè)秘密的保護，我們在本法律意見書中將從個人信息保護及商業(yè)秘密保護兩個角度對我國目前在相關(guān)領(lǐng)域的立法及監(jiān)管現(xiàn)狀作以闡述，并分別從個人信息與商業(yè)秘密兩個方面為貴司提出信息保護方面的合規(guī)建議。
According to our communications with relevant person in charge of your company, you are supposed to be familiar with and analyze the relevant laws and regulations with respect to the information protection in China so as to further avoid the compliance risks that may be occurred in your daily operation. In consideration of the fact that the compliance essentials of your company lie in the protection of personal information and trade secrets, we will elaborate the current legislation and regulation of relevant fields from the perspectives of the protection of personal information and that of the trade secrets, and provide you with suggestions for compliance concerning the information protection from the aforesaid two aspects.
二、我國個人信息保護的相關(guān)法律制度、法律監(jiān)管及合規(guī)建議
1. Legal System for, Regulation of and Compliance Suggestion for Personal Information Protection in China
（一）個人信息的定義
(1) Definition of Personal Information
我國目前的法律法規(guī)對個人信息并沒有統(tǒng)一的定義，基于各部門法律、法規(guī)的規(guī)范的重點不同，其對個人信息的定義也不盡相同：
There is no unified definition of personal information in the current laws or regulations of China, and as the emphases of department laws and regulations are different, the definitions of personal information thereof are varied accordingly:
從上述不同法律、法規(guī)對于個人信息定義來看，雖然表述各有不同，但其認定個人信息的核心原則可歸結(jié)為：單獨或者與其他信息結(jié)合能夠識別用戶身份和個人活動的信息,包括但不限于用戶姓名、出生日期、身份證件號碼、住址、電話號碼、賬號和密碼、個人生物識別信息等。
Judging from the definitions of personal information in various laws and regulation, even though the definition are different from each other, the core principle for the determination of personal information may be summarized as: any information which can be used, individually or in combination with other information, to identify the identity and personal activities of the users, including but without limitation to user’s name, date of birth, number of ID documents, address, telephone, account and password, personal biological identification information and etc.
（二） 我國個人信息保護的法律體系
(2) Legal System for Personal Information Protection in China
我國目前沒有統(tǒng)一的個人信息保護法，與個人信息保護的規(guī)定散見于法律、法規(guī)、規(guī)章和司法解釋中。
Currently, there is no unified personal information protection law in China, and the provisions therefor are scattered in laws, regulations, rules and judicial interpretations.

我國目前專門對“個人信息”的保護加以規(guī)定的法律法規(guī)主要有《全國人民代表大會常務(wù)委員會關(guān)于加強網(wǎng)絡(luò)信息保護的決定》、《最高人民法院、最高人民檢察院、公安部關(guān)于依法懲處侵害公民個人信息犯罪活動的通知》、《電信和互聯(lián)網(wǎng)用戶個人信息保護規(guī)定》以及《信息安全技術(shù)、公共及商用服務(wù)信息系統(tǒng)個人信息保護指南》、《中華人民共和國網(wǎng)絡(luò)安全法（草案）》等。
At present, the following special laws and regulations stipulate the protection of “personal information”: Decision of the Standing Committee of the National People’s Congress on Strengthening the Protection of Network Information, The Joint Notice of the Supreme People’s Court, the Supreme People’s Procuratorate and the Ministry of Public Security on Cracking down Criminal Activities Infringing Citizen’s Personal Information, Provisions Concerning the Protection of the Personal Information of the Users of Telecom and Internet, Information Security Technology and the Guidelines for Personal Information Protection in Public and Business Service Information System, the Internet Security Law of the People’s Republic of China (Draft)and etc.
這些專門性法律法規(guī)的頒布及實施，主要是針對實踐中不斷出現(xiàn)的個人信息被泄露的問題，填補在如今互聯(lián)網(wǎng)和大數(shù)據(jù)時代我國法律法規(guī)對個人電子信息保護的空白。尤其是《全國人民代表大會常務(wù)委員會關(guān)于加強網(wǎng)絡(luò)信息保護的決定》、《最高人民法院、最高人民檢察院、公安部關(guān)于依法懲處侵害公民個人信息犯罪活動的通知》專門針對個人信息及網(wǎng)絡(luò)安全問題，規(guī)定了公民個人信息的范圍，實施侵權(quán)及犯罪行為的主體，以及相應(yīng)的民事責(zé)任、行政處罰和刑事制裁。此外，2015年7月6日，經(jīng)第十二屆全國人大常委會第十五次會議審議公布了《中華人民共和國網(wǎng)絡(luò)安全法（草案）》，該草案系我國關(guān)于網(wǎng)絡(luò)安全管理的首部統(tǒng)一性、專門性立法，從立法原則、概念定義、網(wǎng)絡(luò)運行安全、數(shù)據(jù)安全及信息安全的管理和維護以及預(yù)警應(yīng)急機制和法律責(zé)任等方面分別進行了細化規(guī)定。該法案雖并未正式頒布執(zhí)行，但其對于個人信息、數(shù)據(jù)安全等方面的定義及規(guī)定具有很大的參考及借鑒意義。
The promulgation and implementation of these special laws and regulations are mainly targeted for the continual occurrence of the disclosure of the personal information in practice, and fill in the gap of the laws and regulation of China in the protection of electronical information of individuals in the era of the Internet and big data. As for the personal information security and cyber security, the Decision of the Standing Committee of the National People’s Congress on Strengthening the Protection of Network Information, The Joint Notice of the Supreme People’s Court, the Supreme People’s Procuratorate and the Ministry of Public Security on Cracking down Criminal Activities Infringing Citizen’s Personal Information specially define the scope of personal information of a citizen, the subject the infringement and criminal activities and corresponding civil liabilities, administrative punishments and criminal sanctions. In addition, the Internet Security Law of the People’s Republic of China (Draft) was deliberated and publicized at the Fifteenth Session of the Twelfth Standing Committee of the National People’s Congress on July 6, 2015. As the first unified and specialized law of China concerning the management of the Internet security, this Draft details the legislative principle, the concept definitions, the management and maintenance of network operation security, data security and information security, the early warning and emergency mechanism and liabilities. Even though the Draft is not officially promulgated, it may be referred to for the definition and provisions of the personal information and data security.
