If the Subcontractor finds and notifies the Contractor of any conflict, inconsistency or ambiguity among any of the documents comprising or relating to the Subcontract or among any of the requirements or provisions thereof, the parties  shall through mutual consultation, agree in writing the proper resolution of such conflict, inconsistency or ambiguity, and both parties shall be bound by that agreement. If the Subcontractor resolves any such conflict, inconsistency or ambiguity without the parties’  written agreement , the Subcontractor proceeds at its own risk and expense, and the Contractor shall be free thereafter to resolve the conflict, inconsistency or ambiguity differently from the Subcontractor without making an equitable adjustment in the price of the Subcontract and without incurring any liability to the Subcontractor because of the Subcontractor having proceeded in accordance with its own interpretation.

若分包商發(fā)現(xiàn)并通知承包商分包合同中包含或涉及的任何文件之間存在任何沖突、不一致或不明確的地方，雙方應(yīng)通過(guò)相互協(xié)商以書(shū)面協(xié)議適當(dāng)解決該等沖突、不一致或不明確的地方，雙方均受該協(xié)議約束。若分包商未經(jīng)雙方書(shū)面同意解決了任何該等沖突、不一致或不明確的地方，分包商在推進(jìn)該等事宜時(shí)自行承擔(dān)相關(guān)風(fēng)險(xiǎn)和費(fèi)用，承包商此后應(yīng)隨意解決與分包商意見(jiàn)不同的沖突、不一致或不明確的地方，無(wú)需對(duì)分包合同的價(jià)格進(jìn)行公平調(diào)整，并且分包商不會(huì)因按照其自己的解釋推進(jìn)相關(guān)事宜而承擔(dān)任何責(zé)任。
 
TITLE AND RISK所有權(quán)和風(fēng)險(xiǎn)
Unless otherwise provided in the Subcontract, the Goods or part thereof shall become the property of the Contractor free from liens and other encumbrances at whichever is the earlier of: (a) completion of delivery by the Subcontractor in accordance with the delivery terms of the Subcontract; or (b) when the Subcontractor has received  payment of the value of the Goods or part thereof under the Subcontract. The Subcontractor shall be responsible for and shall bear any and all risk of loss of or damage to the Goods until completion of delivery thereof in accordance with the delivery terms of the Subcontract.

除分包合同另有規(guī)定外，貨物或部分貨物應(yīng)在下列事件發(fā)生（以先發(fā)生者為準(zhǔn)）時(shí)成為承包商的財(cái)產(chǎn)，無(wú)留置權(quán)和其他產(chǎn)權(quán)負(fù)擔(dān)：（a）分包商按照分包合同的交貨條款完成交貨；或（b）分包商已收到分包合同規(guī)定的貨物或部分貨物的貨款。分包商應(yīng)負(fù)責(zé)并承擔(dān)貨物損失或損壞的任何和全部風(fēng)險(xiǎn)，直至按照分包合同的交貨條件完成交貨。
The Subcontractor shall pass to the Contractor good title to the Goods. In the event of any defect in title, the Subcontractor shall, at the request of the Contractor and at the Subcontractor’s expense, remove such defect or replace the Goods with other Goods free from such defect. The Subcontractor shall bear all charges and expenses for such removal or replacement, including transportation charges.
分包商應(yīng)向承包商轉(zhuǎn)讓貨物的所有權(quán)。若所有權(quán)出現(xiàn)任何缺陷，分包商應(yīng)在承包商要求下自費(fèi)消除該等缺陷或?qū)⒇浳锔鼡Q為無(wú)該等缺陷的其他貨物。分包商應(yīng)承擔(dān)該等消除或更換的全部費(fèi)用，包括運(yùn)輸費(fèi)用。
