一、定義
I. Definition

1.1 “商品”，指乙方基于本合同向甲方供應(yīng)的所有商品。
1.2 “配送前置期”，指從甲方采購訂單發(fā)出確認(rèn)到乙方交貨至收貨地點(diǎn)的時間周期。
1.1 “Commodities” hereof refer to all goods Party B provides for Party A according to the Contract.
1.2 “Pre-distribution Period” refers to the time period from the point when Party A’s purchase order is placed and confirmed to the point when Party B delivers goods to the place of delivery.

二、供應(yīng)商資格確認(rèn)
II. Verification of Supplier’s Qualification

2.1 乙方應(yīng)提供詳細(xì)的資料證明其為合格的供應(yīng)商、具備合法生產(chǎn)或者經(jīng)營所需的全部證照文件。乙方可以參考本合同附件 一所列“供應(yīng)商須提供資料目錄”并有義務(wù)在附件一“供應(yīng)商須提供資料目錄”提示不全的情況下主動提供文件資料供 甲方審查建檔。乙方提供的文件為復(fù)印件的，必須加蓋乙方公章。
2.2 乙方應(yīng)填寫附件二“供應(yīng)商聯(lián)系詳情”。
2.3 乙方提供的證照文件在本合同有效期內(nèi)如有變更，應(yīng)及時書面通知甲方并附有效文件。
2.1 Party B shall submit detailed information and all documents to prove itself as a qualified supplier and have all certificates for legal production or operation. Party B may refer to the List of Data that Supplier shall Provide as shown in Attachment 1 and is obliged to offer documents to Party A to review and put on record when the above List is incomplete. Copies of documents Party B provides shall be affixed with Party B’s official seal.
2.2 Party B shall fill in Attachment 2 Contact Information of Supplier.
2.3 Party A shall be informed of any changes in the Certificates and documents Party B provides within the validity hereof in writing immediately and attached with valid documents.

三、商品質(zhì)量要求
III. Quality Requirements of Commodity

3.1 商品的質(zhì)量要求包含內(nèi)在質(zhì)量、外觀質(zhì)量及包裝質(zhì)量，均應(yīng)符合國家相關(guān)法律政策規(guī)定、國家標(biāo)準(zhǔn)、行業(yè)標(biāo)準(zhǔn)、生產(chǎn)企 業(yè)內(nèi)部控制標(biāo)準(zhǔn)及甲方的進(jìn)貨驗(yàn)收標(biāo)準(zhǔn)，與商品說明書、實(shí)物樣品標(biāo)明的質(zhì)量狀況相符，具備安全、有效性。商品的原 料、輔料、添加劑、包裝材料經(jīng)檢驗(yàn)或確認(rèn)合格后方可使用，且必要時，乙方有義務(wù)提供相關(guān)檢驗(yàn)報(bào)告或憑證。
3.1 Quality requirements include the quality of internals, appearance and package which shall conform to national laws, policies and regulations, national standards, industrial standards, internal control standards of producer and Party A’s acceptance standard for purchasing goods, be consistent with the quality as indicated in specifications and sample, and be safe and effective. Raw materials, accessories, additives and packing materials shall be used only after being tested or confirmed as qualified and when necessary, Party B is obliged to provide relevant inspection report or evidence.
