XXX is a company engaged in the research, development, manufacturing, marketing and sale of feed additives, and manufactures and markets among others aminoacids;
XXX是一家從事飼料添加劑研究、開發(fā)、生產(chǎn)、營(yíng)銷和銷售的公司，并生產(chǎn)和銷售其他氨基酸產(chǎn)品；
XXX is willing CAU to carry out studies aimed at analysing thee ffects of AAA and its hydroxy analogue on the development and function of the ZZZ system and its underlying mechanism, and CAU is willing to carry out such research for the account of XXX.
XXX擬委托中國(guó)農(nóng)大開展研究，分析AAA及其羥基類似物對(duì)于ZZZ系統(tǒng)發(fā)育和功能的影響及其基本作用機(jī)制，且中國(guó)農(nóng)大愿意接受XXX之委托開展該項(xiàng)研究。
THE PARTIES HAVE AGREED AS FOLLOWS:
雙方達(dá)成如下協(xié)議：
The results of the Study i.e. namely all observational data, rawdata, information, and results of the tests and measurements under this Agreement shall become the exclusive property of XXX, which shall be free to use them. All rights to inventions, improvements and/or discoveries related tothe Study, whether or not patentable or copyrightable, shall belong to XXX, which shall have the first right to prepare, file and prosecute any patent applications on such intellectual property.
研究結(jié)果，包括本協(xié)議項(xiàng)下的所有觀察數(shù)據(jù)、原始數(shù)據(jù)、信息和測(cè)試與測(cè)量結(jié)果，應(yīng)歸XXX獨(dú)家擁有，XXX可以免費(fèi)使用。對(duì)與研究有關(guān)的發(fā)明、改進(jìn)和/或發(fā)現(xiàn)的所有權(quán)利，無論是否可取得專利或受版權(quán)保護(hù)，均應(yīng)歸XXX所有，XXX擁有就該等知識(shí)產(chǎn)權(quán)準(zhǔn)備、提交和起訴任何專利申請(qǐng)的在先權(quán)利。
