II. Compliance Commitments
（一）本公司（或本人）嚴格按照法律法規(guī)、監(jiān)管規(guī)定和公司章程行使出資人權(quán)利，履行出資人義務(wù)，不濫用股東權(quán)利，不干預(yù)XX銀行的日常經(jīng)營事務(wù)，不向XX銀行施加不當(dāng)?shù)闹笜?biāo)壓力，不干預(yù)XX銀行董事會、高級管理層享有的決策權(quán)和管理權(quán)，不越過董事會和高級管理層直接干預(yù)或影響XX銀行的經(jīng)營管理，或以其他方式損害存款人、XX銀行以及其他股東的合法權(quán)益。
(1) The company (or I), as a capital contributor, will exercise the rights in strict accordance with laws and regulations, regulatory provisions and bylaws and fulfill the obligation. The company (or I) will not abuse the rights of shareholders, interfere in the daily operation of XX Bank, exert undue target pressure on XX Bank, or interfere with the decision-making right and management right enjoyed by the board of directors and senior management of XX Bank. The company (or I) will not directly interfere in or influence the operation and management of XX Bank without negotiation with the board of directors or senior management, or otherwise injure the legitimate rights and interests of depositors, XX Bank and other shareholders.
（二）本公司（或本人）遵守法律法規(guī)和中國銀保監(jiān)會關(guān)于關(guān)聯(lián)交易的相關(guān)規(guī)定，當(dāng)關(guān)聯(lián)關(guān)系發(fā)生變化時及時向XX銀行報告。不與XX銀行進行違規(guī)、不當(dāng)關(guān)聯(lián)交易，不謀求優(yōu)于其他股東、非關(guān)聯(lián)方同類交易條件的關(guān)聯(lián)交易，不利用對XX銀行經(jīng)營管理的影響力獲取不正當(dāng)利益。
(2) The company (or I) will comply with laws and regulations and the relevant provisions of the CBIRC on related-party transactions and report to XX Bank in a timely manner when the related-party relationship changes. The company (or I) will not engage in any illegal and improper related-party transaction with XX Bank, seek any related-party transaction with transaction conditions favorable than those of other shareholders and non-related parties, or take advantage of the influence on XX Bank's operation and management to obtain unjustified benefits.
（三）本公司建立有效的風(fēng)險隔離機制，防止風(fēng)險在本公司、XX銀行以及本公司其他關(guān)聯(lián)機構(gòu)之間傳染和轉(zhuǎn)移。
(3) The company will establish an effective risk isolation mechanism to prevent the contagion and transfer of risks among the company, XX Bank and other related-party institutions of the company.
