15.1 Entire Agreement. This Agreement is the complete and exclusive agreement between the parties with respect to the subject matter hereof, superseding any prior or contemporaneous agreements and communications (both written and oral) regarding such subject matter.
15.1 協(xié)議的完整性。本協(xié)議系協(xié)議雙方就相關(guān)事項(xiàng)達(dá)成的唯一完整協(xié)議，超越任何事先或在同一時(shí)期就所述事項(xiàng)達(dá)成的任何協(xié)議或信件內(nèi)容（書(shū)面和口頭方式）。
15.2 Notice. Any notice given under this Agreement shall be in writing and will be deemed to have been given if it is (a) delivered personally or (b) transmitted via confirmed facsimile or (c) sent by overnight mail via commercial carrier, fees prepaid as of the date of receipt to the addresses listed on the first page of this Agreement.
15.2通知。根據(jù)本協(xié)議做出的任何通知應(yīng)以書(shū)面形式發(fā)布，如果（a）專人遞送或（b）通過(guò)經(jīng)確認(rèn)的傳真發(fā)送或（c）以預(yù)付費(fèi)方式經(jīng)商業(yè)快遞公司遞送，在送至本協(xié)議首頁(yè)標(biāo)示地址之日被視作送達(dá)。
15.3 Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, except for its conflicts of laws principles. The parties consent to the exclusive jurisdiction and venue in the state and federal courts in Santa Clara County, California.
15.3適用法律和仲裁地。本協(xié)議將適用并由美國(guó)加州法律解釋，與法律原則有爭(zhēng)議者除外。協(xié)議各方同意接受加州的專屬管轄權(quán)、以加州圣克拉拉市的聯(lián)邦法庭為仲裁地。
15.4 Severability. If any provision of this Agreement is found illegal, invalid or unenforceable, it will be enforced to the maximum extent permissible, and the legality and enforceability of the other provisions of this Agreement will not be affected.
15.4 條文可分割性。如果本協(xié)議任何條款被視作非法、無(wú)效或不可執(zhí)行，該條款將被在法律允許的最大范圍內(nèi)予以執(zhí)行，本協(xié)議其他條款的合法性和可執(zhí)行性將不受影響。
15.5 Headings. The headings in this Agreement are for the convenience of reference only and have no legal effect.

15.6 No Third Party Beneficiaries. This Agreement is intended for the sole and exclusive benefit of the signatories and is not intended to benefit any third party. Only the parties to this Agreement may enforce it.
15.6無(wú)第三方受益人。本協(xié)議唯一專有受益人為各簽約方，無(wú)第三方受益人。只有本協(xié)議簽約方有權(quán)履行本協(xié)議。
