除本協(xié)議另有約定外，任何一方如有違反本協(xié)議約定的情形，違約方應對守約方承擔違約責任，賠償守約方因此遭受的損失，前述損失包括但不限于守約方為實現(xiàn)債權而產生的合理的律師費、訴訟費、仲裁費、調查費、差旅費用等。
If Party B fails to perform any of its obligations hereunder or fails to deliver the Products to the clients in accordance with the provisions of the Product Sales Agreement, it shall pay liquidated damages to Party A in the amount of USD XX for each day overdue. If the payment is overdue for seven (7) days or more, Party A shall have the right to terminate this Agreement at any time and suspend cooperation between the two parties, and all losses caused thereby shall be borne by Party B.
如乙方存在任何本協(xié)議第8.4條約定之嚴重違反本協(xié)議約定的情形，則甲方有權采取如下任意一項或多項措施向乙方主張違約責任，維護自身合法權益。乙方應在收到甲方書面通知之日起三（3）日內，按照甲方要求采取措施或承擔責任。
In case of any serious violation of this Agreement by Party B as set out in clause 8.4 of this Agreement, Party A shall have the right to claim the liability for breach of contract against Party B by taking any one or more of the following measures to safeguard Party A’s legitimate rights and interests, and Party B shall take measures or assume responsibilities as required by Party A within three (3) days from the date of receiving Party A’s written notice.
